Shareholders of Kongsberg Gruppen ASA have formally approved the demerger of its maritime division, clearing the way for Kongsberg Maritime to become a standalone, publicly listed company on the Oslo Stock Exchange. The extraordinary general meeting on 22 January 2026 ratified the separation plan that had been announced late last year. Kongsberg Maritime’s first trading day is scheduled for 23 April 2026 following demerger registration effective 22–23 April.
The restructuring will see the legacy group split into two focused entities:
- New KONGSBERG – combining Kongsberg Defence & Aerospace with Kongsberg Discovery
- Kongsberg Maritime ASA – operating as an independent specialist in marine automation, propulsion, and digital systems with its headquarters remaining in Norway and a majority ownership stake maintained by the Norwegian state (50.004%).
Lisa Edvardsen Haugan, incoming CEO of Kongsberg Maritime ASA, said the company is “ready to take the next step and stand on our own feet,” noting its global industrial position and capability to pursue new maritime technology opportunities.
Recent contracts and technology milestones
Before the formal spin-off, Kongsberg Maritime continued solidifying its market footprint with confirmed contracts, including a deal to supply rim-drive electric thrusters for a new Indian advanced acoustic research vessel under construction for the Defence Research and Development Organisation’s Naval Physical and Oceanographic Laboratory. This contract pushes the company past 100 units sold worldwide of this propulsion technology, which is valued for low noise and high efficiency.
The company also continues contract activity in marine propulsion and electric systems, including supply packages for next-generation electric tugs with major Turkish shipbuilder and operator partners, reinforcing its role in sustainable and hybrid vessel technology markets.
Maritime context
The approval and upcoming IPO mark a significant corporate milestone for maritime technology and services. As a standalone entity, Kongsberg Maritime will be positioned to respond more directly to growing demand in digital ship systems, decarbonisation technologies, and specialised propulsion solutions, sectors that remain strategic priorities for global shipping and offshore markets.
